Terms of Engagement
These Terms of Engagement describe how TrueHill initiates and manages advisory relationships.
They are intended to provide clarity on scope, responsibilities, confidentiality, and delivery expectations before work begins.
1. Purpose
TrueHill provides governance-focused advisory support, including data protection structuring, AI oversight guidance, and compliance readiness support.
Engagements are advisory in nature and are designed to support operational decision-making.
2. Engagement Start Point
All engagements begin with a scoped consultation.
The consultation is used to:
- Understand context and priorities
- Define proposed scope and boundaries
- Confirm alignment on expected outcomes
- Determine timelines, dependencies, and operating model
No formal engagement begins until scope and terms are agreed.
3. Scope of Services
Scope is defined per engagement and may include:
- Governance process and accountability structuring
- Policy and documentation guidance
- Risk and gap assessments
- Advisory input on NDPA-aligned practices
- Responsible AI oversight support
Scope exclusions, assumptions, and dependencies are stated at kickoff.
4. Advisory Nature of Work
TrueHill provides professional advisory support and structured recommendations.
Unless explicitly agreed in writing:
- TrueHill does not act as legal counsel
- TrueHill does not provide statutory certification
- Final implementation and internal decisions remain with the client
Clients are responsible for obtaining independent legal advice where required.
5. Client Responsibilities
To ensure effective delivery, clients are expected to:
- Provide accurate and timely information
- Assign relevant internal contacts
- Review outputs within agreed timelines
- Communicate constraints, changes, or risks early
Delays in required inputs may affect timelines and deliverables.
6. Confidentiality
Both parties are expected to treat shared non-public information as confidential.
TrueHill will not disclose confidential client information except:
- With client authorization
- Where required by law
- Where necessary to protect legal rights under applicable law
Additional confidentiality terms may be set in project-specific agreements.
7. Data Handling During Engagements
Where personal or sensitive information is involved, data handling expectations are defined during scoping.
TrueHill applies practical safeguards proportionate to project context and applicable legal expectations.
8. Fees and Commercial Terms
Fees, billing cadence, payment terms, and reimbursable costs are defined in the engagement proposal or agreement.
Work beyond agreed scope may require a written change to timelines and fees.
9. Intellectual Property
Unless otherwise agreed:
- Pre-existing tools, frameworks, and methods remain the property of their original owner
- Client-specific deliverables produced under the engagement are licensed or assigned as defined in the agreement
Reuse rights and restrictions are documented in writing.
10. Limitation and Reliance
Advisory outputs are based on information made available during the engagement and on the context at the time of delivery.
Recommendations should be implemented with internal review and, where needed, legal validation.
11. Termination
Either party may end an engagement according to the termination terms defined in the applicable agreement.
Any outstanding payment obligations for completed work remain due.
12. Governing Context
Engagements are operated in alignment with applicable Nigerian legal and regulatory expectations, unless otherwise specified in writing.
